1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Skills Heaven (“we,” “us,” or “our”). They apply to:

Skills Heaven is a results-driven digital marketing agency providing Local SEO in Dubai, Google Ads management, social media marketing, and web development services to businesses across the UAE. All services are delivered with the goal of generating measurable business outcomes for our clients.

3. Services Covered by These Terms

These Terms apply to all services offered by Skills Heaven, including but not limited to:

The specific scope of services, deliverables, timelines, and fees for each engagement are agreed upon in a separate written Service Agreement or Proposal, which forms part of these Terms when accepted by the Client.

4. Service Agreements and Proposals

4.1 Proposal and Acceptance

Before any work commences, Skills Heaven will provide a written proposal or service agreement outlining the scope of work, deliverables, timeline, and fees. The agreement becomes binding when the Client provides written acceptance (via email, WhatsApp, or signed document) and where applicable, pays the agreed initial payment.

4.2 Scope of Work

Skills Heaven will deliver the services as described in the agreed proposal. Any requests for additional work, services, or significant changes to the agreed scope will require a separate written agreement and may incur additional fees. We will always communicate any scope changes before proceeding.

4.3 Timeline and Delivery

Timelines stated in proposals are estimates based on reasonable assumptions at the time of proposal. Delays caused by the Client (including late provision of required materials, feedback, or approvals) will not constitute a breach by Skills Heaven and may extend the agreed timeline accordingly.

4.4 Commencement of Work

Work begins only after the written agreement is accepted and the initial payment (if applicable) is received. Skills Heaven reserves the right to pause or delay work if payment obligations are not met.

5. Client Obligations

To enable Skills Heaven to deliver effective digital marketing services, the Client agrees to:

Provide accurate and complete information about the business, its products or services, and its target market in Dubai or the UAE
Grant timely access to necessary platforms including Google Ads accounts, Google Analytics, Google Business Profile, Meta Business Manager, and website CMS where required
Provide required materials (logos, images, copy, brand guidelines) within agreed timeframes
Review and provide feedback on deliverables within a reasonable period — typically 5 business days unless otherwise agreed
Ensure all information, content, and materials provided to Skills Heaven are accurate, do not infringe third-party intellectual property rights, and comply with UAE law
Maintain a designated point of contact who is authorized to make decisions regarding the engagement
Settle invoices by the agreed payment dates

6. Payment Terms

6.1 Fees

All fees are agreed in writing in the service proposal before work commences. Fees are quoted in UAE Dirhams (AED) unless otherwise specified. Skills Heaven’s management fees are separate from any third-party ad spend (Google Ads budget, Meta Ads budget, etc.), which is paid directly by the Client to the respective platform.

6.2 Payment Schedule

Unless otherwise agreed in writing, the following payment structure applies:

Invoices not paid within 7 days of the due date may result in Skills Heaven pausing service delivery until payment is received. Persistent non-payment may result in termination of the agreement in accordance with Section 12.

6.4 Refunds

Fees paid for work already commenced or delivered are non-refundable unless Skills Heaven has materially failed to deliver the agreed services. Refund requests must be submitted in writing within 14 days of the disputed invoice date and will be reviewed on a case-by-case basis.

6.5 Third-Party Ad Spend

Ad spend budgets (Google Ads, Facebook Ads, TikTok Ads, etc.) are managed by Skills Heaven but paid directly by the Client to the platform. Skills Heaven does not markup or retain any portion of ad spend. Unused ad budget is returned to the Client by the respective platform according to that platform’s terms.

7. Intellectual Property

7.1 Client-Owned Assets

All content, materials, and assets provided by the Client to Skills Heaven (including logos, brand guidelines, product images, and copy) remain the intellectual property of the Client. The Client warrants that they have the right to use and share these materials.

7.2 Work Created for the Client

Upon full and final payment of all agreed fees, Skills Heaven assigns to the Client full ownership of the deliverables created specifically for that Client — including website designs, ad creatives, written content, and campaign structures. This assignment does not include underlying tools, templates, frameworks, processes, or proprietary methodologies used by Skills Heaven.

7.3 Google Ads Account Ownership

Consistent with Skills Heaven’s policy, all Google Ads accounts managed on behalf of Clients are held in the Client’s own Google Ads account or transferred fully to the Client upon request, at any time. The Client retains full ownership of their account, campaign history, keyword lists, and conversion data — unconditionally.

7.4 Skills Heaven's Intellectual Property

All content on skillsheaven.org — including text, images, service descriptions, blog posts, strategies, frameworks, and methodologies — is the intellectual property of Skills Heaven. You may not reproduce, distribute, or use any Skills Heaven content without prior written permission.

7.5 Portfolio and Case Study Rights

Skills Heaven reserves the right to reference completed work in its portfolio, proposals, and marketing materials. Client identities and sensitive data will not be disclosed without explicit written consent. Anonymized case studies may be shared to demonstrate industry results.

8. Results Disclaimer

Skills Heaven commits to applying professional skill, expertise, and best-practice methodologies to every engagement. We provide realistic expectations based on market data during the initial consultation, and we report transparently on actual performance every month.

Specifically regarding Local SEO services in Dubai:

Search engine rankings are determined by Google's algorithms, which Skills Heaven does not control
SEO results typically develop over 3 to 6 months — no agency can legitimately guarantee first-page rankings or specific ranking positions
Skills Heaven follows Google's Webmaster Guidelines at all times. Any penalties resulting from the Client's prior SEO activities are not the responsibility of Skills Heaven

Regarding Google Ads management and social media advertising:

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes:

Confidential information will not be disclosed to third parties without the prior written consent of the disclosing party, except where required by UAE law or legal process. This obligation survives termination of the service agreement.

Client performance data shared during case studies or proposals will always be anonymized unless the Client provides explicit written consent for identified disclosure.

10. Third-Party Platforms and Tools

Skills Heaven uses third-party platforms to deliver digital marketing services, including Google Ads, Meta Business Manager, Google Analytics, Google Search Console, LinkedIn, TikTok, and various SEO and analytics tools. The following applies:

Skills Heaven is not responsible for outages, policy changes, algorithm updates, or restrictions imposed by third-party platforms that affect service delivery or campaign performance
Advertising accounts suspended by Google, Meta, or other platforms due to violations of their policies by the Client (including prohibited content, billing issues, or account history) are outside Skills Heaven's control and responsibility
Skills Heaven will notify the Client promptly of any platform changes that materially affect the agreed service scope
The Client must maintain valid payment methods on all advertising platforms to prevent campaign interruption

11. Limitation of Liability

To the maximum extent permitted by applicable UAE law, Skills Heaven’s total liability to the Client for any claim arising from or relating to the provision of services shall not exceed the total fees paid by the Client to Skills Heaven in the three months preceding the claim.

11.1 Excluded Losses

Skills Heaven shall not be liable for:

Loss of revenue, profit, or business opportunity
Loss of goodwill or reputation
Indirect, consequential, or incidental damages of any kind
Losses caused by the Client's failure to meet their obligations under Section 5
Losses resulting from platform algorithm changes, policy updates, or third-party actions outside Skills Heaven's control

11.2 Indemnity

The Client agrees to indemnify and hold Skills Heaven harmless from any claims, losses, or damages (including legal fees) arising from: inaccurate information provided by the Client, the Client’s own violation of third-party intellectual property rights, or the Client’s failure to comply with applicable UAE laws and advertising platform policies.

12. Termination

12.1 Termination by the Client

The Client may terminate a monthly retainer service by providing 30 days’ written notice before the next billing date. Work in progress at the time of termination will be completed and invoiced. Prepaid monthly fees are non-refundable unless Skills Heaven has materially failed to deliver the agreed services.

12.2 Termination by Skills Heaven

Skills Heaven reserves the right to terminate any service agreement with immediate effect if:

The Client fails to pay invoices within 14 days of the due date and does not remedy this after a written reminder
The Client provides false or misleading information that materially affects the engagement
The Client requests that Skills Heaven engage in practices that violate Google's Webmaster Guidelines, advertising platform policies, or UAE law
The working relationship becomes untenable due to the Client's conduct

12.3 Effect of Termination

Upon termination, Skills Heaven will provide the Client with all campaign data, account access, and deliverables paid for in full. Google Ads accounts, social media ad accounts, and any other Client-owned assets will be returned to full Client control within 5 business days of termination. No Skills Heaven team member will retain access to Client accounts after termination.

13. Governing Law and Jurisdiction

These Terms and Conditions, and any disputes arising from them or from Skills Heaven’s service agreements, are governed by the laws of the United Arab Emirates. Both parties agree to submit to the exclusive jurisdiction of the courts of Sharjah, UAE for the resolution of any disputes.

Skills Heaven operates primarily in Dubai, Sharjah, Abu Dhabi, and across the UAE. All service agreements are entered into and governed under UAE commercial and civil law.

14. Website Use

14.1 Permitted Use

You may use skillsheaven.org for the purpose of learning about our digital marketing services in Dubai and the UAE, and to contact us regarding a potential engagement. All other uses require prior written permission.

14.2 Prohibited Activities

You must not:

Reproduce, copy, or distribute any content from skillsheaven.org without written permission
Attempt to gain unauthorized access to any part of our website or systems
Use our website to transmit spam, malware, or any harmful content
Scrape, harvest, or systematically extract data from our website
Use our website in any way that could damage the reputation of Skills Heaven
